事業のカーブアウトに伴う主な課題（カーブアウトイシュー）を整理し、対応方針の検討、TSA*の内容に関する助言の提供、最終契約締結後はDay1（事業移管の効力発生日）からの円滑な業務実現を支援します。

カーブアウトイシュー特定・方針検討（～入札開始）
現状調査
•調査対象における機能別のハイレベルの業務棚卸を行うために、以下の既存資料を確認し、適宜インタビューを実施して現状を整理します。
-事業概要：事業内容、組織、拠点、商流、等
-経営資源：人、業務、システム、資産、知財、契約、取引関係、等
カーブアウトイシューの特定
•各業務の経営資源に紐づくカーブアウトイシューをドラフトし、主要関係者にヒアリングをすることで内容を確認・更新し、カーブアウトイシューリストを作成します。
•カーブアウト財務数値作成の過程から確認される事項の確認のため、財務チームとも連携します。
カーブアウトイシューの対応方針検討
•カーブアウトイシューに対する対応方針案（移管・TSA・買い手新規構築）をドラフトし、主要関係者とのディスカッション・確認を支援します。
詳細検討・実行準備（～最終契約締結）
カーブアウトイシューの対応の詳細検討
•買い手との交渉の過程のカーブアウトイシューに関する問い合わせ・検討事項に伴う対応の詳細検討の助言・支援を行います。
TSAの内容検討
•TSAとして提供する業務内容・期間・コストの作成を作成し、主要関係者とのディスカッション・確認対応を支援します。
•また、買い手との交渉の過程で発生した問い合わせ・検討事項に関する助言・支援を行います。
Day1に向けた計画のドラフト作成
•Day1に向けた対応事項を領域（分科会）ごとに洗い出し、タスク・スケジュールを整理し、全体スケジュールのドラフトを作成します。
※クロージングに向けた対応事項は別途FA/LAが作成する前提
実行支援（～Day1）
Day1に向けた体制の構築・計画の最終化
•全体スケジュールのドラフトについて、関係者との調整・最終化を支援します。また、Day1に向けた推進体制、週次での内部定例会・買い手との定例会等の会議体の設計に関する助言・支援を行います。
Day1に向けた実行・モニタリング（全体PMO・分科会支援）
•週次内部定例会の資料作成、適宜ファシリテート、及び結果のフォローアップを支援します。
•各領域担当者からの進捗報告をもとに全体スケジュールのステータス更新、遅延タスクへのフォローアップ、随時発生する課題に関する助言・支援を行います。
TSA締結・プロセスの構築
•TSA/Reverse TSAに関する買い手との協議を踏まえた対応案の作成を支援します。
