再編税制と再編法務
企業組織再編に関して、従来課税されていた資産の移転、株式の譲渡等が、一定の要件を満たすことにより、非課税で行えるようになっています。また、税務上の繰越欠損金の引継ぎ、資産の含み損の引継ぎもできるようになっています。
税務コストを最小にして再編の目的を達成するストラクチャーを考えることも重要です。外部の専門家とともに、必要十分な商事法務ドキュメンテーションを必要最低限のコストで提供します。
再編後の取引設計
例えば、持株会社制を導入した場合、配当金収入だけでは税務の効率化が図れません。限られた持株会社の収入形態（営業取引、ロイヤリティ収入、コストシェアー的収入、資金・資産貸付収入、配当収入）から、移転価格などの税務リスクも考慮して、最適な取引設計を提案します。
