近年、多くの企業が買収・事業再編等のM&Aを日常的に手掛けられています。一方で、影響度の高い事実の見落とし、過剰な期待を前提とした価格決定等から、不本意な結果となる案件も少なくありません。とくに想定していない税務リスクが買収後に顕在化した場合、買収価格以外の経済損失を被ることになります。
M&A税務のリスク分類は大きく分けて次の2種類が存在します。
- 「買収前の申告処理等に関する税務リスク」
- 「買収時の再編手法に関する税務リスク」
予期しない税務リスクを回避するためには、対象会社の過去の税務処理等の検証によって、顕在化していない税務リスクを把握する必要があります。また、再編手法決定時に税務リスクを測定しておく必要があります。
